Our Terms & Conditions

Please refer to the below Terms and Conditions under which we operate and provide services to customers. These may be amended from time to time.

1. Interpretations

1.1 Definitions. In this Agreement, the following definitions apply:  

Activation date: The date at which a subscription has been paid for and written confirmation has been sent by Catalyst American Football. 

 

Agreement: these Catalyst American Football Terms and Conditions, as amended from time to time in accordance with clause 6. 

 

Business Day: a day Monday to Friday other than a public holiday in England when banks in London are open for business. 

 

Commencement Date: means the date on which We accept Your Order for the Services in accordance with clause 4.3. 

 

Events: The Services supplied as set out on the website covering the organising and running an agreed package from the Event management services. 

 

Mentor: The Catalyst American Football employee that will be the contact point, in accordance with the Athlete and Coach Development packages. 

 

Order: The application made by You for the supply of Services through our Website (or otherwise by email). 

 

Privileges: The specific benefits that relate to a paid package as stated on the services or memberships section of the Website. 

 

Services: The services supplied by Catalyst American Football to You as set out in this Agreement comprising the League and Event Management, Athlete and Coach Development, Official and Team Manager Support, Analytics and Team Advisory and Research and Development services, or Merchandise. 

 

Subscriptions: A part of the Athlete and Coach Development service that is a monthly payment for set benefits depending on the amount paid. 

 

We/Us/CAF: Catalyst American Football who provide the Services. 

 

Website: Means the Website operated by Catalyst American Football at www.catalystamericanfootball.co.uk

 

You: The team/club or individual who purchases the Services from Catalyst American Football.  

1.2 When certain words and phrases are used in this Agreement, they have specific meanings (these are “defined terms”) They will start with a capital letter and the meaning is in the above.  

2. Our Terms

2.1 These are the Terms and Conditions on which We supply the Services to You. 

2.2 Why You should read them. Please read these terms carefully before You submit Your registration to us. These terms tell You who We are, how We will provide the Services to You, how You and We may change or end the Agreement, what to do if there is a problem and other important information. 

3. How to Contact Us & Communication

3.1 You can contact us by writing to us by email at support@catalystamericanfootball.co.uk or as otherwise specified on our Website under the “contact” section. 

3.2 If We have to contact You, We will do so by writing to you at the email address or telephone number you provided to us when you instigated communication with us

3.3 In joining our Flag News Community (hosted on WhatsApp) you agree to receive news about events and surveys from us as opportunities become available throughout the course of the year. You understand that we as community administrators will have visibility of your contact number (although we will only contact you directly if you instigate 1:1 communication). Others in the community may have visibility of your contact number, especially if you decide to join sub-threads/groups and you understand that it is your responsibility to update your privacy settings if you do not wish to be visible.

3.4 In our Flag News Community there will be a zero tolerance policy for any discriminatory, abusive or exclusive language, remarks or insinuations.

4. Ordering Services

4.1 You must be 18 Years old to place an Order for Services.  

4.2 You must be at least 14 Years old to make Use of our Services. In instances where we are working with those under the age of 18, a guardian may prefer to be present and is welcome to participate. We will regardless follow procedures outlined in 7.7.

4.3 Your Order constitutes an offer to us. Our acceptance of Your Order will take place when We write to You to accept it or when You receive a confirmatory message, at which point the Agreement will become legally binding on You and Us, subject to a 14-day period, where no services are used, in which You have the right to cancel any Order You make. A 12-hour pre-processing period applies to any product that has a 24-hour turnaround stated. 

4.4 If Your Order is not accepted by us, We will inform You of this and will not charge You for the Services. This might be because of limits on our resources or because We have identified an error in the price of description of the Services. 

4.5 Each Order shall incorporate the Agreement and shall be a new separate contract between You and Catalyst American Football. 

4.5 We may offer auto-renewal for any continuing Subscriptions, as published on the Website and termination of these services lies with the Customer. If Services are not set to auto-renew then towards the end of the Term of this Agreement We may contact you to offer you the opportunity to renew this Agreement upon the payment by a date which We will specify to you in writing. 

5. Your Rights to Make Changes

5.1 If You wish to make a change to Services ordered, please contact us via email. We will let You know if We agree to the change, in our sole discretion. If We do, We will let You know about any changes to the price of the Services, their timing or anything else which would be necessary as a result of Your requested change and ask You to confirm whether You wish to go ahead with the change. For Event Management Your changes should be in accordance with clause 12. 

6. Our Right to Make Changes

6.1 We may update these terms and conditions from time to time and it is at our discretion. All changes are effective immediately and by continuing to use our Services You agree to these terms and conditions. 

7. Providing Our Services

7.1 When We will provide the Services. We will Supply the Services to You from the Commencement Date until either We or You have completed the Services. The estimated completion date for the Services is as outlined on the confirmation of purchase or until either You end the Agreement as described in clause 9.7 or We end the Agreement by written notice to You as described in clause 9.7. 

7.2 We are not responsible for cancellation, delays, and other circumstances outside of our control. If our performance of the Services is affected by circumstances outside of our control, then We will contact You as soon as practical to let You know and We will take steps to reduce the impact. 

7.4 We may suspend the Services for any of the following reasons:

(a) updating the Services to reflect changes in relevant laws and regulatory requirements; 

(b) dealing with technical problems or make minor changes 

(c) making changes to the services notified by us to You (see clause 6) 

7.5 Your rights if We suspend the services. We will contact You in advance to tell you We are suspending the Services, where possible. If the services have to be suspended for a period exceeding 3 weeks, then You will have the right to cancel the Agreement. If this is between payments, you may choose to receive the last payment as a refund, but you will forfeit the ability to access the Services for the remaining period. In the event wherein We suspend the Services as outlined in clause 7.7 You will not be entitled to a refund and not receive access to the Services for the remaining period.  

7.6 Services may also be suspended if You do not pay. If You do not make payment before or on or within 2 days of the date sent to you in writing, then your access to the Services will be suspended until You make a payment in full.  

7.7 We may suspend Services if you breach the Agreement. We may suspend the Agreement at any time by writing if You: 

(a) abuse or insult Catalyst American Football Staff, whether in person or in writing, on social media channels and/or in correspondence. 

(b) use a Privilege that You are not entitled to. 

7.8 For the protection of all parties and for recall purposes we will never deliver in person 1:1 sessions and where virtual training is delivered sessions will be recorded and held by the company. 

8. Submission of Videos

8.1 If the Services require submission of a video, they must be in the format stated below: 

(a) We need it submitted in an .mp4 format and should not exceed one hour and a half in length.  

8.2 For team analytics, the video must be from halfway line and have a sufficient view of the whole field. 

8.3 For a subscription service, the Mentor/Coach will tell You in writing how a video should be filmed, and You should try Your best to fulfil this request. 

8.4 If videos do not meet with the above standards, then We will contact you and expect it to be filmed again. If it cannot be filmed again then We will try our best to complete the Services with the video provided but you will not be entitled to any form of refund and will have to accept the Service provided.  

8.5 If the video cannot be used at all and not filmed again You will not be entitled to a refund and will be allowed to submit a different video to be used for the Services. 

8.6 We will aim to send videos and analysis submitted back within 5 Business days unless You have a video, and it is in the Service that it is done within 1 or 2 business days. We will notify You in writing if we are unable to do this and advise You on the next steps.

9. Payment and Price

9.1 The price of Services will be the price set out on our Website or if agreed in writing, the price will also include any VAT due. The price will be in force at the date of Your Order, unless otherwise agreed. 

9.2 If the price is not authorised by our payment processor, Your Order will not be fulfilled.  

9.3 The price will be the latest price on the Website or in writing.  

9.4 We accept payment by card payment, direct debit, or cheque. 

9.5 If the renewal price is wrong then contact us immediately and We will resolve the matter as quickly as possible. 

9.6 Event Management 

(a) Once a price and Event package has been decided then a 50% non-refundable deposit is required within 7 days of the payment request, to secure the booking. The remaining 50% is required no later than 10 Business days after the Event. 

(b) If the above terms are not agreed to then Catalyst American Football will be allowed to resell and relocate the Event without any notice. 

(c) If You cancel an Event then You will forfeit your refund and may still be required to pay a partial or full amount as set out in the written agreement.  

(d) If We must alter the event due to something Outside of our Control then the final invoice will be adjusted accordingly. 

9.7 Subscriptions 

(a) Subscriptions will run monthly from midnight on the Activation date, and the renewal day will stay constant and not change unless You ask to adjust this, and it is approved by us. If the renewal date occurs on a date that is not within the correct month it will become the next Business Day as a one-off occurrence and return to the previous date afterwards. 

(b) You will have access to all right and Privileges exercisable for the type of membership chosen. 

(c) You must give confirmation of cancellation of the Subscription in writing, and you will get access to Your entitled Privileges at the usual times, until the end of your Subscription.  

10. Assigned Mentors

10.1 You are not allowed to choose Your Mentor and no prior communication will influence our decision of which Mentor You will be assigned.  

10.2 We will try find the best fit of a Mentor for You depending on the information You have given to us. The Mentor will try their best to help You and You are limited to one Mentor per person. 

10.3 If You purchase a coaching and player package then We will try to give You the same Mentor for both packages, where possible otherwise you may receive a different Mentor. 

10.4 If You are unhappy with Your Mentor then You should: 

(a) seek to resolve any issues with the Mentor first. 

(b) Contact us in writing using a subject line stating which Mentor You have and Your name, please provide as much information as possible as to why you are unhappy with your Mentor and a review will be conducted. We will review the information given and decide if a new Mentor is required. We will provide You with an outcome and the reasoning behind it. If You are unhappy with the decision made, then You will have the right to cancel Your subscription.  

10.5 We work using videos and homework to track Your progression and lack of engagement will result in us becoming absolved from responsibility for Your lack of progression.  

11. Privileges

11.1 All Privileges are set out in writing or on the Website and the Service You pay for will entitle You to those stated Privileges. If there is a change to the Privileges You will be notified in writing and by continuing to use those Privileges, then You accept any changes.  

11.2 If You are found to be using Privileges that you should not have access and do not notify us within 2 days of this then Your Services will be suspended in accordance with clause 7.7. 

11.2 If you have paid for a Service and don’t receive all of the Privileges stated then You should contact us in writing within 14 days of the first payment, with the subject Line being Your Name, Package Bought and for which specific service. Please Provide the dated receipt as part of which Privileges you have not received. We will review this and decide if You Were given the correct package or not. If you have not received the stated Privileges, then We will provide these Privileges as soon as it is appropriate.  

11.3 In the case that You did receive the privileges stated then you will receive a copy of what was sent to You. 

11.4 We will not provide a partial refund or otherwise if You use any Privileges within 14 days of Your first payment.  

12. Event Management

12.1 Once an event program has been agreed and confirmed in writing no alterations can me be made less than 7 days before the event. If You make alterations within a 2-Week period, then a 10% administration fee may be charged to change the details of the event or event program.  

12.2 If something happens that is outside of our control and we alter the Event e.g., location, then assuming that the alteration is of the agreed standards or specifications then you will be notified if changed and we will advise prior to making the judgement.  

13. Clinics

13.1 Clinics may be in-person or online and any required details will be sent out prior to the clinic. 

13.2 If you are unable to attend an event for any reason you will not be entitled to a refund of any kind.  

13.3 Catalyst American Football is not responsible for any loss or damages to any person or personal property whilst travelling to, from or at the event.  

13.4 Catalyst American Football can cancel a clinic at any time and if this happens then You will not be entitled to a refund and instead will be able gain access to a different clinic. 

14. Personal Information

14.1 personal information You provide will be used by us to: 

(a) Provide our Services 

(b) Process a payment for Services 

14.2 Media: By signing up to use our Services You allow Catalyst American Football to take photos of You during use of our Services. You acknowledge that all intellectual property rights vesting in videos and photos will belong to Catalyst American Football and consent to their use on social media, Website, and any other promotional reasons worldwide. 

 (a) You have the right to withdraw Your consent from use in any such photos or videos outlined above by telling us in writing. 

(b) You agree to our storing of copies of any video or photo, for as long as is necessary. 

14.3 Third parties will be provided with Your information where the law requires us to do so.  

15. Intellectual Property

15.1 Ownership. Services and the entirety of their content’s functionality and features (including but not limited to all of the information, data, text, display, analysis, audio and video, design, and arrangements thereof) are owned and belong to Catalyst American Football and its licensors and is protected by United Kingdom trademark, patent, and copyright laws. 

15.2 You are not allowed to reverse engineer, decode, copy, modify, translate, or adapt any part or otherwise of the Services stated on the Website.  

16. Copyright Infringement

16.1 If You believe there is any copyright infringement then You should send a written letter containing Your name and signature stating what specifically is the process copied and what specific law is broken. We will take these claims seriously and deal with them accordingly. 

16.2 If You infringe on Catalyst American Football, We will send You a written and signed letter stating what you have infringed upon and the law that We believe You have broken and stating what You should do to proceed.  

17. Confidentiality

17.1 Any prices, processes, tools, trade secrets, data and analysis or other similar information given to You that is not public knowledge, are Confidential and You must not distribute them to any third party unless given approval by Catalyst American Football. 

17.2 You will use the same degree of care that Catalyst American Football takes to safeguard the confidential material given to You for the entire time that You use the Services and for a period of 3 years after the ending of Services. 

17.3 Any distribution of confidential information will result in Suspension of Services and You will not be entitled to refund. 

18. Events Outside of Our Control

18.1 We will not be responsible or liable for any failure to perform, or delay in performance of, any of our obligations under the Agreement by an event outside of our reasonable control. 

18.2 This means any act or event beyond our reasonable control, including but not limited to, strikes, lock-out or other industrial third-party action, severe weather or other natural disaster, or failure of telecommunications networks or failure in the inadequacy of the facilities such as water logging, frozen pitch, or floodlight failure or decisions by third party providers whom we rely on for our events to close or make pitches inaccessible.

18.3 In such circumstances, we will still offer compensation, credit or refund to our participants where possible as a gesture of good faith. However, third party decision making may mean that is not possible.

19. Insurance and Our Responsibility for Loss or Damage Suffered by You

19.1 Our insurances extend to our responsibilities as coaches, mentors and event organisers. We do not insure participants at our events. All participants do so at their own risk and we strongly advise that you purchase club/team/individual insurance prior to participation.

19.2 Nothing in this agreement, nor your participation will result in CAF taking responsibility for: 

(a) death or personal injury caused to You by anyone whilst using the Services. 

(b) loss, damage or theft to any personal belongings whilst using the Services. 

20. Participant Behaviour

20.1 It is important to us that Football and by extension our events occur in a competitive, yet fun, safe and inclusive environment. Should any participant be deemed to be behaving in a way which does not align with those core values, we reserve the right to ask them to leave site immediately without refund and extend this to their team should this stance not be respected if such a situation arises.

20.2 Typically a player will be warned first, but in severe behavioural instances (e.g. physical violence / discrimination / abuse of officials), we will move to immediate removal. Failure to comply will result in penalty to your team and potentially a ban from future events (blacklisted).

20.3 We have a zero tolerance policy towards abuse of officials and behaviours which lack respect for officials will result in action being taken as laid out above. Officials decisions are considered final and are not disputable.

20.4 All on the day concerns / complaints can be directed to the Senior Official or Competition Manager
